In December 2007, Aegera and Human Genome Sciences, Inc. (Nasdaq:HGSI) completed a licensing and collaboration agreement providing HGS with exclusive worldwide rights (excluding Japan) to develop and commercialize AEG40826/HGS1029 and other small-molecule IAP inhibitors for oncology. Under the agreement, HGS paid an upfront license fee of $15 million and made an equity investment of C$5 million. Aegera may be entitled to receive up to $295 million in future development and commercial milestone payments, including a $5 million milestone payment that was received upon FDA clearance of an IND. Aegera will also receive double digit royalties on net sales in the HGS territory and in North America, Aegera will have the option to co-promote, under which it will share certain expenses and profits (30%) in lieu of its royalties.

In September 2008, Neurologix and Aegera announced their execution of an exclusive license agreement. Pursuant to the agreement, Neurologix has exclusively licensed the worldwide rights, excluding China, for the use of the XIAP gene (X-linked inhibitor of apoptosis protein) for therapeutic or prophylactic purposes in the treatment of Huntington’s disease. |
